Mergers & Acquisitions

We specialise in private M&A transactions for both buy side and sell side. We have considerable experience and can offer strategic insight along with practical support. We are able to leverage an extensive network of relationships and a wide-ranging understanding of the Information, Communication and Technology landscape. We also have significant operational experience, which we believe makes us more understanding of our client's position and also makes us somewhat unique.

Sell Side

We advise through the entire sell side process from the viability of a sale through preparation, marketing and closing the transaction. This includes advice on valuation as well as ecosystem development, process management and leading negotiations.

Buy Side

We work with clients in order to carefully understand the purpose and focus of the acquisition and as such look to ensure value is created and retained. Initially we will work with management to understand the focus and potential targets. We also look to instill a framework and attempt to create buy-in amongst all shareholders towards that framework. We then manage the process from contacting targets and refining known information through to negotiating an optimal transaction and completing post acquisition integration to again ensure value is obtained.

Private Placements

We have substantial knowledge in private placements from a number of perspectives including operational, as an investor and also as an advisor. We have very positive relationships with institutional investors, corporate investors and business angels.

Investment Support & Transaction Services

With significant operational experience and investment experience Princelet Partners are well placed to support investors looking to undertake due diligence as a discrete module of work including analysis around valuation and business plan feasibility.

Strategic Advice

Princelet Partners also works to provide discreet solutions for clients looking to test trade sale strategies or preparing for a private placement. These compartmentalised deliverables allow clients to evaluate the potential strategy without having to commit entirely to the process.

Restructuring

Princelet has also worked with clients looking to divest assets, pivot into new areas of strategic focus and to cut costs in order to grow more efficiently. With over 35 years operational experience, Princelet is well placed to advise on structuring ideas and support activities to ensure the envisaged results are obtained.

Prior to founding Princelet Partners, Stephen was the Managing Director of Motorola Ventures, the second largest TMT Corporate Venture Capital group and participated in 9 exits, 10 board roles and 10 investments including cash to cash experience. Stephen also managed Acquisitions and Alliances in Motorola and undertook transactions including a $100M joint venture, a $1.5Bn alliance and a $150M acquisition. Stephen has postgraduate qualifications from the London Business School, The Chartered Institute of Marketing and the University of Bath.

on potential investments and exits in Europe and the UK. In 2008 David ran a successful exit process for Jacobs Rimell, resulting in the sale to Amdocs. Previously David was CFO of Cramer where he was responsible for Cramer's acquisition of T-Soft and lead commercial and contractual negotiations during the sale of Cramer to Amdocs in 2006. David has also headed up European Finance for Access360, Continuus Software and Cadence and his early career was spent at Nortel where he held a variety of commercial finance positions. David qualified as a Chartered Accountant in 1985 and has an honours degree in Engineering Science and Management from Durham University.

a number of management teams on their fundraising and acquisition activities including raising over £30m in Series A and B funding for companies in the mobile, fintech and Enterprise SaaS arenas. He has also participated in 4 exits. Kevin originally qualified as a Chartered Accountant with KPMG and spent 5 years with Commerzbank in their Investment Bank.

CHAIRMAN OF THE BOARD

Gerard Delaney is the Chairman of Princelet Partners. Gerard has nearly 20 years experience in the TMT space. Gerard began his career at Mitsui & Co in Tokyo and held senior management positions at Ericsson and BT.

He went on to join the management teams of a number of VC/PE backed ventures including Dilithium Networks (acquired by OnMobile) , Acision, Newbay Software (acquired by Blackberry) and CPA Global. During his career he has lived and worked in Japan, China, India, USA and Sweden. He holds a Masters Degree in Economics, won an EU scholarship to study in Japan and participated in several Executive Education Programmes at the Harvard Business School.
